By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you are using our Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and your agreement to these Terms will be treated as the agreement of the organization. In that case, "you" and "your" will refer to that organization.

These Terms constitute a legally binding agreement between you and Pryszm. If you do not agree to these Terms, you may not access or use our Service. We reserve the right to modify these Terms at any time, and your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

Description of Service

Pryszm provides a cloud-based approval management platform designed to streamline and automate approval workflows across organizations. Our Service enables users to submit, route, track, and manage approval requests for various business processes including finance, human resources, information technology, legal, and operational approvals.

The Service includes web-based applications, mobile interfaces, application programming interfaces (APIs), webhook integrations, and third-party service connections. We provide tools for creating custom approval workflows, managing user roles and permissions, generating audit trails, and integrating with external business systems.

Our Service is designed to help organizations improve efficiency, maintain compliance, and provide transparency in their approval processes. However, we do not guarantee any specific business outcomes or results from using our Service, and the effectiveness of approval workflows depends on proper implementation and organizational adoption.

User Accounts and Registration

To use our Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

You must be at least 16 years old to create an account and use our Service. If you are using the Service on behalf of an organization, you must have the legal authority to enter into this agreement on behalf of that organization.

We reserve the right to refuse service, terminate accounts, or cancel subscriptions at our sole discretion, particularly if we determine that you have violated these Terms, engaged in fraudulent activity, or used the Service in a manner that could harm our platform or other users.

Acceptable Use Policy

You agree to use our Service only for lawful purposes and in accordance with these Terms. You are prohibited from using the Service to transmit, store, or process any content that is illegal, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable.

You may not use our Service to violate any applicable laws or regulations, infringe upon the rights of others, or engage in activities that could damage, disable, or impair our Service or interfere with other users' access to the Service. This includes attempting to gain unauthorized access to our systems, conducting security testing without permission, or introducing malicious code or viruses.

The Service is intended for legitimate business approval workflows and organizational communication. You agree not to use the Service for personal matters unrelated to your organization's business operations, unless explicitly permitted by your organization's policies.

You are responsible for ensuring that any content you submit through the Service complies with your organization's policies and applicable laws. This includes maintaining appropriate confidentiality and security measures for sensitive business information processed through approval workflows.

Intellectual Property Rights

The Service and all content, features, and functionality thereof are owned by Pryszm and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Service solely for your internal business purposes in accordance with these Terms.

You retain ownership of any content, data, or information that you submit to or through the Service ("User Content"). However, by submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and process such content solely for the purpose of providing the Service to you and your organization.

You represent and warrant that you have all necessary rights to submit User Content and that such content does not infringe upon the intellectual property rights of any third party. You agree to indemnify us against any claims arising from your submission of User Content that violates third-party rights.

Our Service may include third-party integrations and services. Your use of such third-party services is subject to their respective terms and conditions, and we are not responsible for the availability, functionality, or terms of use of such third-party services.

Data Processing and Security

We implement reasonable security measures to protect the confidentiality, integrity, and availability of data processed through our Service. However, no internet-based service can guarantee complete security, and you acknowledge that you use the Service at your own risk.

You are responsible for implementing appropriate organizational and technical measures to protect sensitive data within your approval workflows. This includes properly configuring user roles and permissions, training users on security best practices, and ensuring that sensitive information is handled in accordance with your organization's policies and applicable regulations.

We process personal data in accordance with our Privacy Policy and applicable data protection laws. If you are subject to specific regulatory requirements such as GDPR, HIPAA, or SOX, you are responsible for ensuring that your use of the Service complies with such requirements, and you may need to enter into additional data processing agreements with us.

We maintain regular backups of Service data, but we recommend that you maintain your own records of critical approval decisions and supporting documentation. While we strive to ensure data availability and integrity, we cannot guarantee against data loss due to technical failures, natural disasters, or other unforeseen circumstances.

Subscription Terms and Billing

Our Service is provided on a subscription basis with various pricing tiers based on features, usage limits, and support levels. Subscription fees are charged in advance for each billing period and are non-refundable except as expressly provided in these Terms.

You authorize us to charge your designated payment method for all applicable fees. If payment cannot be processed, we may suspend your access to the Service until payment is received. We reserve the right to change our pricing with at least 30 days' advance notice to existing subscribers.

Subscription renewals occur automatically unless you cancel your subscription before the end of the current billing period. You may cancel your subscription at any time through your account settings or by contacting our support team. Cancellation will be effective at the end of your current billing period.

If you upgrade or downgrade your subscription during a billing period, we will prorate the charges and adjust your next billing accordingly. Additional usage beyond your plan limits may result in overage charges as specified in your subscription terms.

Service Level and Availability

While we strive to maintain high availability and performance of our Service, we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, technical difficulties, or circumstances beyond our control.

We aim to provide at least 99.5% uptime for our Service, calculated monthly and excluding scheduled maintenance windows. If we fail to meet this target, you may be eligible for service credits as specified in your subscription agreement or our Service Level Agreement.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We will make reasonable efforts to provide advance notice of significant changes that may impact your use of the Service.

Technical support is provided according to your subscription level, with response times and support channels varying based on your plan. We provide documentation, knowledge base articles, and other self-service resources to help you use the Service effectively.

Limitation of Liability

To the maximum extent permitted by applicable law, Pryszm shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of or inability to use the Service.

Our total liability to you for any claims arising from or related to the Service shall not exceed the amount paid by you to us for the Service during the twelve months preceding the claim. This limitation applies regardless of the legal theory upon which the claim is based.

We do not warrant that the Service will meet your specific requirements, that it will be uninterrupted or error-free, or that any defects will be corrected. The Service is provided "as is" and "as available" without warranties of any kind, either express or implied.

You acknowledge that the Service is a tool to facilitate approval workflows and that you remain responsible for making appropriate business decisions, maintaining compliance with applicable laws and regulations, and ensuring that approval processes meet your organization's requirements.

Indemnification

You agree to indemnify, defend, and hold harmless Pryszm and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses arising from your use of the Service, violation of these Terms, infringement of any third-party rights, or any content submitted by you or users within your organization.

This indemnification obligation includes reasonable attorneys' fees and costs incurred in defending against such claims. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.

You will not settle any claim that would impose any obligation or liability on us without our prior written consent. This indemnification obligation will survive termination of these Terms and your use of the Service.

Data Export and Termination

Upon termination of your subscription, you will have a reasonable period to export your data from the Service. We will provide standard export functionality to help you retrieve your approval history, user data, and other information stored in our Service.

After the data export period expires, we may delete your data from our systems in accordance with our data retention policies. We are not obligated to maintain your data indefinitely after termination, and you are responsible for ensuring that you have adequate backups of important information.

Termination of your subscription does not relieve you of any payment obligations incurred prior to termination. All provisions of these Terms that by their nature should survive termination will remain in effect after termination, including intellectual property rights, limitation of liability, and indemnification obligations.

If we terminate your subscription for cause, including violation of these Terms, you may not be entitled to any refund of prepaid fees, and we may immediately suspend your access to the Service and your data.

Compliance and Regulatory Considerations

You are responsible for ensuring that your use of the Service complies with all applicable laws, regulations, and industry standards relevant to your organization and jurisdiction. This includes but is not limited to employment laws, financial regulations, data protection requirements, and industry-specific compliance mandates.

The Service provides tools to help maintain audit trails and documentation of approval processes, but you remain responsible for configuring and using these tools appropriately to meet your compliance requirements. We recommend consulting with legal and compliance professionals to ensure that your approval workflows meet applicable regulatory standards.

If you operate in regulated industries or jurisdictions with specific data localization requirements, you are responsible for ensuring that our Service meets those requirements or implementing additional measures as necessary.

We may provide compliance-related features and documentation, but we do not provide legal advice or guarantee that use of our Service will ensure compliance with any specific regulations or standards.

Modifications to Terms

We reserve the right to modify these Terms at any time by posting the updated Terms on our website and notifying you through the Service or by email. Material changes will be effective 30 days after notification, while non-material changes may be effective immediately upon posting.

Your continued use of the Service after the effective date of any modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you may terminate your subscription and discontinue use of the Service.

We may also modify features, functionality, or pricing of the Service with appropriate notice as specified in your subscription agreement. Such modifications will not affect your rights under these Terms except as specifically provided.

Dispute Resolution and Governing Law

These Terms and any disputes arising from or relating to the Service shall be governed by and construed in accordance with the laws of the United States of America, without regard to conflict of law principles.

Any legal action or proceeding arising from or relating to these Terms or the Service shall be brought exclusively in the courts of the United States of America, and you consent to the jurisdiction and venue of such courts.

Before initiating any legal proceedings, you agree to attempt to resolve disputes through good faith negotiations. If direct negotiations are unsuccessful, you may pursue binding arbitration as an alternative to court proceedings, subject to the rules and procedures we may establish for dispute resolution.

This dispute resolution provision does not prevent either party from seeking injunctive relief or other equitable remedies for violations of intellectual property rights or confidentiality obligations.

Severability and Entire Agreement

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will remain in full force and effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving its original intent.

These Terms, together with our Privacy Policy and any additional agreements you may have with us, constitute the entire agreement between you and Pryszm regarding the Service and supersede all prior or contemporaneous communications and proposals regarding the subject matter herein.

No waiver of any provision of these Terms shall be deemed a waiver of any other provision or any subsequent breach. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
